Corporate Finance Strategy – Regional Coal Business
AWR Lloyd has been instrumental in the development and expansion of two smaller players into multi-billion dollar coal suppliers over the past decade – one in Australia, acquired by a Chinese group for $3 billion – and one in Asia, a $6 billion dollar company with coal and power interests in six countries: Indonesia, Australia, China, Mongolia, Thailand and Laos. The work for these companies has included a mix of corporate finance strategy, transactions and investor relations work over many years.
Fertilizer Sector Business Plan
AWR Lloyd advised a major Swiss-based grain and fertilizer trading group on a potential investment in a potash company in the Middle East and assisted in providing a business plan for a Russian fertilizer company in support of a takeover bid.
Copper Project Acquisition
AWR Lloyd advised a large Japanese group on the $200 million acquisition of a mining operation in Latin America.
Romanian Aluminum Privatization
AWR Lloyd advised the Romanian government (in conjunction with the World Bank and a French investment bank) on the privatization of its aluminium industry, including the largest aluminium smelter in Eastern and Central Europe.
Transformational merger transactions for a listed Australian mining company
AWR Lloyd worked for an Australian mining company for over five years on several M&A advisory assignments, some of which were finalized and some of which were not.
The work started with an assessment of strategic growth options including the application of existing cashflows plus acquisition financing to acquire another mine, forming a strategic alliance with an international mining group – or an IPO. The final option was eventually adopted but with a twist – the company decided to execute a reverse takeover transaction of an existing listed entity. The following year AWR Lloyd advised on a A$90 million acquisition which did not proceed.
The year after that we advised on a A$450 million merger between our client and an unlisted mining company which was completed successfully based on AWR Lloyd’s valuation analysis and negotiation. AWR Lloyd was retained to advise on the company’s organic growth strategy and investor relations.
During the five years of work for the client by AWR Lloyd, the company’s market capitalization increased from around $30 million to over $1.2 billion. In the year following the end of our assignment the company’s share price more than doubled again and the client was eventually acquired for A$3.3 billion by a large Chinese mining group.
Refinery, Oil Storage and Petrochemical Market Study
AWR Lloyd worked for one of the largest Middle Eastern oil and gas groups to provide three in-depth studies of the Indian and Southeast Asian oil refining, petrochemicals, storage, marketing and distribution sectors as part of the development of a market-entry plan.
Value-Maximzing Growth Strategy and Business Planning
AWR Lloyd has worked with a large listed Southeast Asian coalmining group to improve and standardize the company’s Business Development department standard operating procedures (SOPs).
AWR Lloyd advised on the implementation of the Hypothesis to Value Creation system and provided training to key members of the Business Development department.
We then helped the team to develop a detailed coal asset Target Universe Screening Spreadsheet for quarterly review and a Hot List or Watch List system for priority targets.
Market Signals Analysis and Investor Relations Advisory
AWR Lloyd has conducted a Market Signals Analysis for a large Thai energy group every three years over the past ten years.
Each time, AWR Lloyd has prepared detailed questionnaires for fund managers and analysts to assess their views on the client’s strategy, value dynamics and IR programme.
We interviewed between 15 and 20 fund managers and analysts (in New York, London, Paris, Singapore, Hong Kong and Bangkok) on each occasion.
The results have been used to improve the client’s investor relations programme and to consider the potential market reaction to certain strategic decisions under consideration.
Group Corporate Structure and Equity Market Strategy
AWR Lloyd worked for a large listed Asian energy company with a high free float. We advised on potential predator strategies, potential predator profiles, valuation dynamics, investor relations strategies, Decision Matrix, restructuring plans and various contingency measures.
Tank Farm Lease Agreement and Oil Trading Advisory
AWR Lloyd worked with a Southeast Asian oil tank farm and terminal company with over 2 million barrels of storage capacity to secure its first long term tank rental contract with a large oil refining company after a period of financial restructuring. AWR Lloyd assisted in the drafting and negotiation of the agreement. We then advised the tank farm on the activation of its customs free zone license – and introduced a large Singapore-based oil trading company as a new customer. AWR Lloyd has since negotiated and secured four medium term agreements for the tank farm with the trading customer involving sub-contract profit sharing and trading profit sharing arrangements.
